Shearman & Sterling Advises on Sealed Air Corporation Notes Offering

Shearman & Sterling represented BNP Paribas and Morgan Stanley & Co. LLC as representatives of the several initial purchasers in connection with Sealed Air Corporation’s private placement of $400 million of its 5.500% Senior Notes due 2025 and €400 million of its 4.500% Senior Notes due 2023. Concurrent with the senior notes offering, the firm also advised Morgan Stanley & Co. LLC and BNP Paribas Securities Corp. as the dealer managers and Merrill Lynch, Pierce, Fenner & Smith Incorporated as the co-dealer manager on a tender offer with respect to Sealed Air’s 8.375% Senior Notes due 2021.
