Shearman & Sterling represented the underwriters, led by Citigroup Global Markets Inc., Credit Agricole Securities (USA) Inc., Merrill Lynch, Pierce, Fenner & Smith Incorporated and Mizuho Securities USA Inc., as the joint bookrunning managers in connection with a shelf takedown of $800 million aggregate principal amount of 2.95% notes due 2026 of Time Warner Inc. The notes are guaranteed by certain of Time Warner’s domestic subsidiaries.

Time Warner is a leading media and entertainment company with businesses in television networks, film and TV entertainment. The company plans to use the proceeds for general corporate purposes.
