Ford’s Historic $8 Billion Notes Offering

Shearman & Sterling advised the underwriters on Ford Motor Company’s $8 billion senior notes offering. This represents the largest ever offering by Ford and the largest ever deal of its kind.

Shearman & Sterling has been involved in every securities offering for Ford Motor Company since its IPO in 1956, the largest in American history up to that time. The firm helped usher in the era of “benchmark size offerings” with Ford Motor’s and Ford Credit’s history-making debt offering of a combined $8.6 billion in 1999. 

BofA Securities, Citigroup, Goldman Sachs & Co. LLC, J.P. Morgan and Morgan Stanley acted as representatives of the several underwriters in connection with the offering. 

Ford Motor Company designs, manufactures, markets and services a full line of Ford cars, trucks, SUVs, electrified vehicles and Lincoln luxury vehicles, provides financial services through Ford Motor Credit Company and is pursuing leadership positions in electrification; mobility solutions, including self-driving services; and connected services.
