Shearman & Sterling advised the underwriters in connection with the follow-on public offering by MGE Energy of 1,495,000 shares of its common stock at a public offering price of $56.00 per share, resulting in aggregate gross proceeds to MGE Energy of approximately $80,161,900. The offering included 195,000 shares sold pursuant to the exercise in full of the option to purchase additional shares granted to the underwriters by MGE Energy in connection with the offering.
Morgan Stanley and BofA Securities acted as joint book-running managers for the offering.
MGE Energy is a public utility holding company. Its principal subsidiary, Madison Gas and Electric generates and distributes electricity to 155,000 customers in Dane County, Wisconsin, and purchases and distributes natural gas to 163,000 customers in seven south-central and western Wisconsin counties.
