Shearman & Sterling is advising NIC Inc. (Nasdaq: EGOV) in its sale to Tyler Technologies Inc. (NYSE: TYL). As part of the definitive agreement, Tyler will acquire all outstanding shares of NIC in an all-cash transaction valued at approximately $2.3 billion.
