Christopher represents financial institutions, corporate borrowers and sovereign wealth funds in a broad range of finance transactions, including investment-grade committed financings, complex syndicated loan transactions, acquisitions and other leveraged financings.
Experience
- Morgan Stanley Senior Funding, as Administrative Agent, on a $1.425 billion incremental financing for the combination of Waterlogic Group Holdings and Culligan International. The combined company is majority owned by funds affiliated with BDT Capital Partners, and the firm’s co-investors. The financing, for Osmosis Buyer, consisted of a $1.1 billion increase to its existing $2.1 billion first lien secured term loan B facility, a $250 million increase to its existing $150 million delayed-draw term loan B facility, and a $75 million increase to its existing revolving credit facility
- HSBC Bank USA, National Association, as administrative agent, and HSBC Continental Europe, as swing line lender, on a new $600 million unsecured revolving credit facility with James Hardie International Finance Designated Activity Company and James Hardie Building Products Inc., as borrowers
- Citibank, as Administrative Agent, on an amendment and extension to its existing revolving and term loan facilities for Science Applications International Corporation to, among other things, extend the term date, upsize the existing term loan to $1.230 billion and revolving facility to $1 billion and replace the existing LIBOR rate with term SOFR
