PREPARING THE BOARD FOR HUMAN CAPITAL MANAGEMENT OVERSIGHT AND DISCLOSURE 

Boards of directors have long focused on executive hiring, transition and compensation as key areas of corporate governance oversight, but largely have not been tasked with direct oversight of human capital management more broadly, which has historically been viewed as an area that should be overseen by management. This is slowly changing.

In this chapter of our 18th Annual Corporate Governance & Executive Compensation Survey, we discuss how positioning human capital management as a board issue and expanding board focus from executive compensation to the workforce at large, will require significant change for boards and what they can do to prepare.
