Shearman & Sterling advised Lower Cadence Holdings, an affiliate of Oryx Midstream, in connection with the formation of OMOG JV, LLC, a joint venture with Rattler Midstream Operating LLC, and advised OMOG JV, LLC in connection with the acquisition of 100 percent of the membership interests in Reliance Gathering LLC.

Oryx Midstream is a portfolio company of Stonepeak Infrastructure Partners, an infrastructure-focused private equity firm with over $15 billion of assets under management and offices in Houston, New York and Austin. Shearman & Sterling advised Oryx when Stonepeak acquired the operating subsidiaries of Oryx Midstream in May 2019. 

Rattler is a publicly traded company that formed in 2018 as a subsidiary of Diamondback Energy.

Reliance is a private Midland-based oil and gas company focused on developing upstream and midstream assets in the Permian Basin.
