Huntington Bancshares Inc.’s Notes Offering and Exchange Offer

Shearman & Sterling represented Credit Suisse Securities (USA) LLC, Citigroup Global Markets Inc., Goldman Sachs & Co. LLC, Huntington Securities, Inc., Keefe, Bruyette & Woods, Inc., MUFG Securities Americas Inc. and Raymond James & Associates, Inc. as initial purchasers in connection with a Rule 144A/Regulation S offering by Huntington Bancshares Incorporated of $500 million aggregate principal amount of its 2.487% Fixed-to-Fixed Subordinated Notes due 2036.

Shearman & Sterling also represented Credit Suisse Securities (USA) LLC as the dealer manager in connection with the private exchange offer by Huntington of its 4.350% Subordinated Notes due 2023 and The Huntington National Bank's 6.250% Subordinated Notes due 2022, 4.600% Subordinated Notes due 2025 and 4.270% Subordinated Notes due 2026 for Huntington's 2.487% Fixed-to-Fixed Rate Subordinated Notes due 2036. In connection with the exchange offer, Huntington issued $60,516,000 2.487% Fixed-to-Fixed Rate Subordinated Notes due 2036.
