Shearman & Sterling represented Hurricane Finance Plc (the “Issuer”) and its subsidiaries in connection with its add-on issuance of £15 million of 8.000% Senior Secured Notes due 2025 (the “Additional Notes”). The Additional Notes are being issued as additional notes under the Issuer’s indenture, pursuant to which the Issuer previously issued an aggregate principal amount of (i) £290 million of its 8.000% Senior Secured Notes due 2025, and (ii) £30 million of its 8.000% Senior Secured Notes due 2025. The Additional Notes were issued to certain investors pursuant to a private placement outside the United States in an offshore transaction in accordance with Regulation S under the U.S. Securities Act of 1933, as amended.

The proceeds of the transaction will be used for general corporate purposes and to pay fees and expenses related to the private placement.

The transaction closed on March 15, 2023.
