Adam Hakki Named Securities Lawyer of the Year

Adam Hakki, global head of Shearman & Sterling’s Litigation group, was named the “2018 Securities Lawyer of the Year” for the entire United States by Benchmark Litigation, a leading guide to the top litigation firms and attorneys in the United States. Adam, one of six shortlisted lawyers, received the award at a ceremony held on February 15, 2018 in New York.

KME AG’s €300 Million Senior Secured Notes Offering

Shearman & Sterling represented Goldman Sachs International, BNP Paribas, Deutsche Bank, Banca Akros S.p.A. Gruppo Banco BPM, Banca IMI and Raiffeisen Bank International on KME AG’s €300 million offering of its 6¾% senior secured notes due 2023. The offering, which was conducted pursuant to Rule 144A and Regulation S under the U.S. Securities Act, closed on February 9, 2018.

The Province of Ontario’s $3 Billion Bond Offering

Shearman & Sterling represented the Province of Ontario in connection with its public offering of  $3 billion of its 2.55% bonds due February 12, 2021.  Application has been made to the Luxembourg Stock Exchange (LSE) for the bonds to be admitted to trading on the Euro MTF Market of the LSE.

GE Capital’s Acquisition of 24.99% Stake in YPF Energia Electrica

Shearman & Sterling is advising GE Capital Global Holdings, LLC on its acquisition of a 24.99% stake in YPF Energía Eléctrica (YPF EE) from YPF S.A. When complete, GE Capital and YPF S.A. will jointly control YPF EE. GE Capital will pay $275 million for its stake in YPF EE, in addition to a $35 million contingent payment. The transaction is expected to close by February 28, 2018.

The Republic of Chile’s $2 Billion Notes Offering and Switch Tender Offer

Shearman & Sterling represented Citigroup Global Markets Inc., Goldman Sachs & Co. LLC, HSBC Securities (USA) Inc. and J.P. Morgan Securities LLC and Merrill Lynch, Pierce, Fenner & Smith Incorporated as underwriters in the Republic of Chile’s issuance of $2 billion 3.24% notes due 2028.  The offering was made in an SEC-registered transaction and occurred contemporaneously with a “switch tender” invitation to holders of specified outstanding series of Chile’s notes, whereby such holders were offered the right to purchase these notes, with preference given to holders who agreed to purchase Chile’s new notes.

Geert will participate in the panel on “Abuse of Dominance Cases: A New Horizon – Part 1.” The panel will consider the impact of litigation arising from abuse of dominance claims, following a period where the impact of cases relating to both Big Technology and Big Pharma continue to shape this area of law. Todd will participate in the panel “Expert Evidence in Multinational Class Action Proceedings.” The panel includes expert witnesses, litigation funders and private practice and in-house lawyers.

Shearman & Sterling Conference: The State of International Arbitration in US Courts in 2017

Shearman & Sterling, in cooperation with the USCIB / ICC USA and George Washington University Law School, is hosting its inaugural annual conference on “The State of International Arbitration in U.S. Courts.”  The conference will provide a retrospective analysis of significant decisions by U.S. federal courts in the past calendar year relating to international arbitration and the Federal Arbitration Act.  The conference will take place on March 1, 2018 at The George Washington University Law School in Washington, DC.  Speakers will be Shearman & Sterling International Arbitration lawyers Jonathan Greenblatt, Christopher Ryan, Henry Weisburg, David Earnest and Sasha Filippova; Professor Steve Charnovitz (The George Washington University Law School); Professor Julian Mortenson (University of Michigan Law School); and Professor Catherine A.
