ENGIE’s First Green Loan Financing and Joint Venture for Mexican Generation Asset Portfolio

Shearman & Sterling advised ENGIE and its affiliates, including Heolios Intermediate 1, Engie Eólica Tres Mesas 3, Eólica Tres Mesas 4, Recursos Solares PV de México IV, BNB Villa Ahumada Solar, Buenos Días Energía and Engie Abril PV, in connection with the limited recourse project financing and related interest rate hedging in respect of four solar parks and two wind farms in Mexico with a combined capacity of approximately 721 MW. The transaction includes a construction phase individualized per project financing, an operations phase portfolio holding company financing and, subject to the satisfaction of certain conditions, the option to finance an additional solar park or wind farm project during the construction or operations phase.

PetVet Care Centers’ $125 Million Incremental Term Loan Facility

Shearman & Sterling advised Jefferies Finance LLC, as administrative agent, and Ares Capital Corporation, as lender, on a $125 million first lien senior secured incremental term loan facility for PetVet Care Centers (PetVet). PetVet will use the proceeds for working capital, general corporate purposes (including the financing of acquisitions) and to pay the fees and expenses incurred in connection with the first lien senior incremental term loan facility.

Shearman & Sterling Advises on the Republic Of Peru’s Issuance of Bonds and Tender Offers

Shearman & Sterling advised initial purchaser Citibank del Perú S.A. and international initial purchasers BofA Securities, Inc., Citigroup Global Markets Inc., HSBC Securities (USA) Inc. and J.P. Morgan Securities plc. in connection with the issuance of the Republic of Peru’s Sol-Denominated 5.350% Bonos Soberanos due 2040 and reopening of its Sol-Denominated 5.400% Bonos Soberanos due 2034 in an aggregate principal amount between the two series of S/10,102,884,000.  Both series were sold in a private placement pursuant to Rule 144A and Regulation S and included the issuance of global depositary notes (GDNs), which represent the underlying Bonos Soberanos.
