PLI’s Understanding the Securities Laws 2017

Partner Linda E. Rappaport (New York-Compensation, Governance & ERISA) spoke at PLI’s “Understanding the Securities Laws 2017” on July 14 in New York.  The program provided an overview and discussion of the US federal securities laws with emphasis on the interplay among the Securities Act of 1933, the Securities Exchange Act of 1934, the Sarbanes-Oxley Act, the Dodd-Frank Act, the JOBS Act, the securities-related provisions of the FAST Act, related SEC regulations and significant legislative and regulatory changes and proposals made in the wake of the 2016 election.

Rappaport participated on the panel “Regulation of Proxy Solicitations,” which will discuss:

    • Review of the regulatory scheme and SEC requirements for proxy solicitations
    • Recent developments in shareholder proposals and how to handle them
    • Proxy contests and shareholder activism
    • Proxy statements as communications tools: an update on formatting and presentation
    • Corporate governance disclosures
    • Will executive compensation disclosure practices change during 2017?
    • New disclosure requirements
