Shearman & Sterling Advises on EUR 361.6 Million Capital Increase with Preferential Subscription Rights of Solocal Group

Shearman & Sterling advised Morgan Stanley & Co. International plc, acting as Sole Global Coordinator and Joint Bookrunner, and BNP Paribas, acting as Joint Bookrunner, in connection with Solocal Group’s capital increase with preferential subscription rights of EUR 361.6 million, which was launched on May 13, 2014 and closed on June 6, 2014 (the “Rights Issue”).

The Rights Issue was part of a transaction that also included a reserved capital increase of EUR 78,750,000, which was subscribed for by Paulson, Amber, Credit Suisse and Praxient.

The final amount raised by the company was EUR 361,621,208, representing 723,242,416 new shares, for which there was significant oversubscription.
