Shearman & Sterling Advises Intercontinental Exchange on Sale of Remaining Stake in Euronext

Shearman & Sterling advised Intercontinental Exchange, Inc. (“ICE”) as selling shareholder in connection with the sale of 4,210,823 ordinary shares of Euronext N.V. ("Euronext") for gross proceeds of approximately €96.8 million, representing approximately 6.02% of Euronext’s share capital and ICE’s final exit from Euronext following Euronext’s initial public offering in June 2014. The offering was conducted by means of an accelerated bookbuilding private placement outside the United States in reliance on Regulation S under the Securities Act of 1933 and to qualified institutional buyers in the United States in reliance on an exemption from the registration requirements of the Securities Act of 1933. Closing occurred on December 11, 2014.

Shearman & Sterling previously advised ICE and Euronext in connection with Euronext’s €1.3 billion initial public offering.
