Shearman & Sterling Advises Underwriters in Agrium Inc.’s US$1 Billion Offering of Debentures

Shearman & Sterling represented Merrill Lynch, Pierce, Fenner & Smith Incorporated, RBC Capital Markets, LLC and CIBC World Markets Corp., as joint book-running managers, and BMO Capital Markets Corp., Scotia Capital (USA) Inc., BNP Paribas Securities Corp., AltaCorp Capital Inc., National Bank of Canada Financial Inc., TD Securities (USA) LLC, RBS Securities Inc., ANZ Securities, Inc., Mitsubishi UFJ Securities (USA), Inc. and Mizuho Securities USA Inc. as co-managers, in connection with Agrium Inc.’s (“Agrium”) offering of US$550,000,000 aggregate principal amount of 3.375% debentures due 2025 and US$450,000,000 aggregate principal amount of 4.125% debentures due 2035.

Agrium is a retailer of agricultural products and services in the United States, Canada, Argentina, Brazil, Chile, Uruguay and Australia and a multi-national producer and wholesale marketer of nutrients for agricultural and industrial markets.
