Shearman & Sterling Advises JetBlue Airways Corporation in the Deutsche Lufthansa AG Exchange Offer of Senior Notes

Shearman & Sterling advised JetBlue Airways Corporation (“JetBlue”) in connection with the exchange offer by Deutsche Lufthansa AG for €234,400,000 in aggregate principal amount of 0.75% Exchangeable Senior Notes due 2017 exchangeable for JetBlue common stock. Morgan Stanley & Co. International plc acted as the dealer manager. 

Pursuant to its registration rights agreement entered for the benefit of the noteholders, JetBlue prepared and filed a prospectus supplement to its registration statement to provide registration rights under the Securities Act with respect to the JetBlue shares delivered upon exchange of the notes.
