Washington, DC tax partner Ethan Harris has been named a “Rising Star” by Law360. Law360’s Rising Stars Awards recognize attorneys under the age of 40 “whose legal accomplishments belie their age.”
Harris’ Law360 profile, published on April 29, discusses his work on high-stakes transactions for clients like Liberty Global PLC and Marriott International. One of his biggest deals was Liberty Global’s $23 billion acquisition of UK cable provider Virgin Media, and their combination under a new UK parent company, where he helped negotiate transaction documents and structure the transaction. In addition, Harris is currently advising on Liberty Global’s pending issuance of tracking stock that is intended to reflect the economic performance of its Latin American cable business, which will be the first tracking stock issued by a UK public company.
Harris also represented Marriott International as it separated its primary hotel operations from its timeshare business. Due to losses on US timeshare properties incurred after the 2008 real estate crisis, Harris assisted Marriott in developing a way to trigger those losses with resulting current tax savings. According to Harris, “That was an innovative transaction in that you normally don’t think of a loss-generating transaction in connection with a tax-free spinoff.”
