Shearman & Sterling Advises Initial Purchasers on $700 Million Senior Notes Offering by Sensata Technologies B.V.

Shearman & Sterling represented Morgan Stanley & Co. LLC, Barclays Capital Inc., Goldman, Sachs & Co., Mizuho Securities USA Inc. and RBC Capital Markets as initial purchasers in connection with a $700 million issuance of 5.00% Senior Notes due 2025 by Sensata Technologies B.V.

Shearman & Sterling also advised Morgan Stanley & Co. LLC, as dealer manager, in connection with a concurrent cash tender offer by Sensata Technologies B.V. with respect to its outstanding 6.5% Senior Notes due 2019.
