Shearman & Sterling Advises on Cott Corporation’s Offering of Common Shares

Shearman & Sterling represented CIBC World Markets Inc. and Barclays Capital Canada Inc., as co-lead managers, and Wells Fargo Securities, LLC, BMO Nesbitt Burns Inc. and RBC Dominion Securities Inc., as co-managers, in connection with a public offering of 16,215,000 common shares of Cott Corporation at a public offering price of $9.25 per share on a bought deal basis, which includes the exercise in full by the underwriters of their over-allotment option to purchase an additional 2,115,000 common shares, for gross proceeds of approximately $150.0 million.  

Cott Corporation is one of the world’s largest producers of beverages on behalf of retailers, brand owners and distributors, and has one of the broadest home and office bottled water and office coffee services distribution networks in the United States, with the ability to service approximately 90 percent of US households, as well as national, regional and local offices.
