Shearman & Sterling Advises on DSV’s DKK 5.0 Billion Offering of Shares

Shearman & Sterling advised Danske Bank, Nordea Markets (a division of Nordea Bank Danmark) and ING Bank as joint global coordinators and joint bookrunners in connection with DSV’s offering of 17,499,999 new shares and 681,819 existing shares (treasury shares). The offering raised  DKK 5.0 billion, which will be used to partially finance DSV’s expected acquisition of US based UTi Worldwide.

DSV is a global supplier of transport and logistics services with approximately 23,000 employees in more than 70 countries and worldwide annual revenue of approximately €6.5 billion in 2014. DSV is listed on Nasdaq Copenhagen.

On October 9, 2015, DSV announced that it had entered into an agreement to acquire UTi Worldwide. UTi is a global supply chain services and logistics company with revenue of approximately $3.9 billion and 21,000 employees in 58 countries. The combined company will be one of the world's strongest transport and logistics networks. The Boards of Directors of DSV and UTi have unanimously approved the transaction and closing is expected in Q1 2016.
