Shearman & Sterling Advises on WebMD’s $360 Million Convertible Notes Offering

Shearman & Sterling represented WebMD Health Corp. in connection with its Rule 144A offering of $360 million aggregate principal amount of its 2.625% convertible notes due 2023, including $60 million purchased pursuant to the over-allotment option granted to the initial purchaser. The notes are convertible into shares of WebMD’s common stock at an initial conversion rate of 11.4845 shares of common stock per $1,000 principal amount of notes.

WebMD is the leading provider of health information services, serving consumers, physicians, healthcare professionals, employers and health plans through its public and private online portals, mobile platforms and health-focused publications.
