Shearman & Sterling Advises Ardagh Group on Its Initial Public Offering of Class A Common Shares

Shearman & Sterling acted as counsel to Ardagh Group S.A. in connection with its initial public offering of 18,630,000 Class A Common Shares (including 2,430,000 shares purchased by the underwriters pursuant to the exercise in full of their option to purchase additional shares), at a public offering price of $19.00 per share, resulting in net proceeds to the company of approximately $319 million. Citigroup acted as lead book-running manager, with Deutsche Bank Securities, Goldman, Sachs & Co., Barclays, Credit Suisse, and J.P. Morgan as joint book-running managers, and Davy and Wells Fargo Securities as co-managers. Cahill Gordon & Reindel LLP served as counsel to the underwriters.
