Shearman & Sterling Advises on Cott’s $750 Million Senior Notes Offering

Shearman & Sterling represented Deutsche Bank Securities Inc., J.P. Morgan Securities LLC, SunTrust Robinson Humphrey, Inc., Merrill Lynch, Pierce, Fenner & Smith Incorporated and Wells Fargo Securities, LLC, as joint book-running managers, and PNC Capital Markets LLC, as co-manager, in connection with a Rule 144A/Regulation S offering of $750 million aggregate principal amount of 5.50% senior notes due 2025 of Cott Holdings Inc., a wholly owned subsidiary of Cott Corporation (“Cott”).

Cott, one of the world’s largest producers of beverages on behalf of retailers, brand owners and distributors, has one of the broadest distribution networks in the direct-to-consumer beverage services industry in North America, enabling it to efficiently service residences and small and medium-size businesses, as well as national corporations, universities and government agencies.
