Shearman & Sterling advised Viacom Inc. in its merger with CBS Corporation, which will create a leading global multiplatform, premium content company with more than $28 billion in revenue.

The combination, through an all-stock merger, will result in a company with the assets, capabilities and scale to be one of the most important content producers and providers in the world. The new company, to be named ViacomCBS Inc., will possess an iconic library of more than 140,000 premium TV episodes and more than 3,600 film titles, production capabilities across five continents, including more than 750 series ordered or in production and one of a few major film studios operating on a global basis, and will have a global reach of more than 4.3 billion cumulative TV subscribers in more than 180 countries.
