Buckeye Partners’ $1 Billion Senior Notes Offering

Shearman & Sterling represented Credit Suisse Securities (USA) LLC and the other initial purchasers in connection with Buckeye Partners, L.P.’s offering of $500 million aggregate principal amount of 4.125 percent senior notes due 2025 and $500 million aggregate principal amount of 4.500 percent senior notes due 2028. Concurrently with the notes offering, Shearman & Sterling also advised Credit Suisse Securities (USA) LLC in Buckeye Partners’ tender offer and consent solicitation for any and all of its outstanding $650 million aggregate principal amount of 4.875 percent notes due 2021.

Buckeye Partners, a wholly owned investment of the IFM Global Infrastructure Fund, owns and operates a diversified global network of integrated assets providing midstream logistic solutions, primarily consisting of the transportation, storage, processing and marketing of liquid petroleum products. Buckeye is one of the largest liquid petroleum products pipeline operators in the United States in terms of volumes delivered, with approximately 6,000 miles of pipeline.
