Mattamy Group Corp.'s Million Dual-Tranche Senior Notes Offering and Cash Tender Offer

Shearman & Sterling advised Mattamy Group Corporation in connection with its Rule 144A/Regulation S offering of US$600 million aggregate principal amount of its 4.625 percent senior notes due 2030 and CND$250 million aggregate principal amount of its 4.625 percent senior notes due 2028. Mattamy used a portion of the net proceeds from the offering to fund a concurrent abbreviated tender offer to purchase any and all of its USD 6.500 percent senior notes due 2025 and CND 6.500 percent senior notes due 2025 conducted under the SEC’s No Action Letter dated January 23, 2015 regarding Abbreviated Tender or Exchange Offers for Non-Convertible Securities.
