Shearman & Sterling represented Citigroup, BofA Securities, MUFG, PNC Capital Markets LLC, SunTrust Robinson Humphrey, US Bancorp, Wells Fargo Securities, Capital One Securities, SMBC Nikko and TD Securities in connection with the inaugural Rule 144A/Regulation S offering by Science Applications International Corporation (the Company) of $400 million aggregate principal amount of 4.875 percent senior notes due 2028. The company will use the net proceeds from the offering, cash on its balance sheet, borrowings under its incremental term loan B facility and proceeds from the sale of receivables under its receivable factoring facility primarily to finance the acquisition of substantially all of the assets and liabilities of the Unisys Federal operating unit of Unisys Corporation.
