Shearman & Sterling advised the note purchasers on Stonegate Pub Company Limited’s private placement of $500 million aggregate principal amount of 8.0% senior secured notes due 2025 by Stonegate Pub Company Financing 2019 plc.

The net proceeds of the offering were used for the repayment of certain existing indebtedness that was used to partially finance the acquisition by Stonegate of the Ei Group.

Following the acquisition of Ei Group plc, Stonegate Pub Company Limited is the largest managed pub company in the United Kingdom, operating approximately 4,750 pubs, bars and other venues across the country.
