Stuart Fleischmann has been with Shearman & Sterling since 1982 and a partner in the firm’s Capital Markets practice since 1990. He spends time in both the New York and Sao Paulo offices.

He focuses on SEC-registered, 144A and Regulation S international debt and equity offerings, and tender and exchange offers by Latin American and European companies, sovereign nations and quasi-governmental entities. He is also regularly involved in structured finance transactions such as toll road financings and securitizations involving credit cards, residential mortgages, international oil payments, money transfers and electronic remittances, loan pools, auto and farm equipment loans and leases and franchise revenues.

His work includes:

(i) the first SEC offering by a Latin American bank for Banco de Galicia in Argentina in 1993;

(ii) the largest equity offering ever for Petrobras, a Brazilian oil company, in its $69 billion offering in 2010;

(iii) the first NYSE offering by an Indian company in 1999, and one year later by its principal subsidiary;

(iv) multiple issuances in 2015, 2016 and 2017 of so-called “Green Bonds” by Latin-American financial institutions;

(v) a 2014 record $40 billion consent solicitation for Pemex; and

(vi) multiple bespoke securitizations and structured finance transactions, including transactions for Alsacia (Santiago Chile’s metro system), Sonic Foods’ franchise royalty securitization, John Deere and its farm equipment receivables offerings and numerous offerings by One Main Financial, the nation’s largest consumer finance company.
