Arielle L. Katzman is an associate in the Capital Markets practice.
Arielle maintains a diverse capital markets and corporate governance practice. Arielle serves as counsel to issuers (ranging from early stage growth companies to seasoned issuers, as well as FPIs), underwriters and selling stockholders, in public and private offerings. Transactions worked on include IPOs, liability management, venture financing, M&A, leveraged finance, exchange offers, spin-offs, MJDS registration, restructurings, follow-on offerings, secondary offerings, block trades, debt offerings and at-the-market offering programs. These cross-border and domestic offerings have involved a range of instruments: debt (secured and unsecured, high yield, investment grade, retail notes, sovereign securities/GDNs and Eurobonds), equity (common stock, preferred stock and ADRs), subscription rights and convertible securities (warrants, stock and notes). Industry exposure includes consumer products, FinTech, medical devices, waste management, satellite, media, pharmaceuticals, specialty finance vehicles, insurance and shipping.
Arielle also advises clients on general corporate governance and compliance matters, and prepares/consults on Exchange Act filings (Section 16 filings, periodic reports, current reports, proxy statements, Schedule 13s), 10b5-1 plans and Rule 144 sales.
Arielle’s public company clients include Advanced Disposal Services, Inc., Boston Scientific Corporation, The Chefs’ Warehouse, Inc., The Dow Chemical Company and Laureate Education, Inc.
Additionally, Arielle assists pro bono clients with incorporation/dissolution, M&A transactions, policy implementation and contract negotiation.
