Erik Romberg is a Special Attorney in the Emerging Growth practice.
He focuses on corporate and securities matters, primarily in the context of emerging growth companies in multiple industries including technology, software, services, life sciences, healthcare, medical devices, energy, consumer products and others. He has advised clients on a wide variety of corporate transactional matters throughout all stages of a company’s lifecycle including: acquirer and target representations in mergers and acquisition transactions; company and investor-side representations in formation, seed stage and venture capital financing, with particular experience in the use of limited liability companies as financing structures and private equity investment in emerging growth companies ; company and investor representations in complex restructurings, reorganizations and down-round financings; investor and fund-side representations in private equity fund formation; and company and underwriter representations in initial and follow-on public offerings and private placements of public equity.
Erik also advises clients on corporate governance and fiduciary duty matters, as well as serving as outside general counsel to many clients and advising on general corporate matters, employment, incentive compensation and technology licensing transactions.
