NYSE Further Restricts Broker-Discretionary Voting under Rule 452

The NYSE has issued guidance further restricting broker-discretionary voting on certain types of corporate governance matters under Rule 452. Rule 452 governs when a broker can vote a customer's shares without receiving voting instructions from the customer. The NYSE's guidance is effective immediately and will affect the 2012 proxy season.
