Shearman & Sterling attorneys and professionals have extensive experience representing clients in national security reviews before CFIUS, the Defense Counterintelligence and Security Agency, and other related U.S. government bodies. Our attorneys and professionals have represented clients in some of the most complex transactions and cross-border investments ever approved by CFIUS and the U.S. government. This experience has provided the firm’s attorneys and professionals with a unique understanding of the U.S. government’s concerns with such transactions and has allowed us to develop comprehensive strategies and creative solutions to address these concerns and achieve our clients’ critical business objectives.

With new legislation broadening the U.S. government’s national security review authorities and regulators subjecting foreign investment to increased scrutiny, clients routinely seek our advice on their most significant cross-border transactions and investments. Our clients in these transactions and investments include multinational corporations in the defense, aerospace, telecommunications, energy, agriculture, chemical, biotechnology, banking, real estate, manufacturing, mining, and transportation sectors. We also regularly counsel state-owned enterprises, financial institutions, private equity firms and consortia, and other domestic and foreign issuers and investors to structure and negotiate their transactions and investments in these sectors. In addition, we counsel clients on related national security issues, including supply chain matters, risk mitigation, and security compliance monitoring.

Our lawyers also counsel clients on a number of related regulatory matters, including export control issues, international trade matters, government contracts reviews, national industrial security program (NISP) compliance, personnel and facility security clearances, and Federal Communications Commission foreign investment reviews.

Lawyers in our CFIUS practice formerly held senior positions within the CFIUS agencies and have been recognized by Chambers USA: American’s Leading Lawyers for Business.
