Pemex`s Sale of US$1 Billion in Debt Securities and Concurrent Exchange and Tender Offers

Shearman & Sterling represented BofA Securities, Inc., Citigroup Global Markets Inc., Goldman Sachs & Co. LLC and HSBC Securities (USA) Inc. as bookrunners in connection with Petróleos Mexicanos’ (Pemex) offering of $1 billion 6.700% notes due 2032. Concurrently with the offering, Pemex announced its intent to launch exchange offers for 12 series of notes with maturities ranging from 2024 through 2030 and offers to purchase for cash six series of notes with maturities ranging from 2044 through 2060, in which Shearman & Sterling represented BofA Securities, Inc., Citigroup Global Markets Inc., Goldman Sachs & Co. LLC and HSBC Securities (USA) Inc. as joint dealer managers. The Government of Mexico will make a capital injection of up to US $3.5 billion in PEMEX, the proceeds of which will be used to fund the exchange and tender offers.
