Harlan Rosenson is an associate in the Antitrust practice.

His practice focuses on defending companies’ mergers and acquisitions before the Federal Trade Commission, Department of Justice, state antitrust authorities, and foreign competition authorities. He also counsels clients on a range of antitrust matters including class action litigation and government investigations as well as business conduct and compliance issues.

Harlan has represented clients in a variety of industries including pharmaceuticals, life sciences, media, insurance, gaming and retail.

Prior to joining the firm, Harlan worked as an associate in the antitrust practice group of another large U.S. based international law firm.

• Defended Saks Fifth Avenue in successfully securing a motion to dismiss without prejudice for Saks and co-defendant luxury retail brands in an alleged “no-poach” antitrust class action in which Plaintiffs claimed Saks orchestrated “no hire” agreements with each luxury brand.*
• Defended Bio-Rad Laboratories against post-merger antitrust counterclaims raised by defendant in a patent infringement litigation, in which the court rejected several of the defendant’s antitrust claims leading the parties to reach a global settlement and agree to a lifetime cross-licensing agreement regarding the patents-in-suit.*
• Represented MGM Resorts International on multiple transactions, including its $1.625 billion acquisition of the operations of The Cosmopolitan of Las Vegas from Blackstone, the sale of operations of The Mirage to Hard Rock International for $1.075 billion.*
• Represented Microsoft in $68.7 billion acquisition of Activision Blizzard.*
• Represented MBCC in acquisition by Sika.*
• Advised Bio-Rad Laboratories, in an antitrust probe related to its $125 million acquisition of DropWorks.*
