Giulio Tognazzi is partner with Studio Legale Associato Shearman & Sterling LLP in the Finance practice based in Rome and Milan Office.

He has a wide experience of assistance in relation to primary financing transactions, including, inter alia, in the sectors of traditional and renewable energy, water, hydroelectric, real estate and infrastructure, acquisition and corporate finance, intellectual property, export finance and internationalisation finance. His practice encompasses the assistance in securitisation transactions and purchase and management of portfolios of claims transactions.

He has also a long experience in assisting issuers, arrangers, lead managers, dealers, rating agencies, investors and advisers in connection with DCM transactions, such as bond issues and exchange offers and structured finance and in connection with finance transactions with public entities or guaranteed by public entities and European institutions, including EIB.

Furthermore, he has assisted in relation to regulatory issues, including the drafting of internal policies.

• Unoenergy S.p.A., as Originator in the negotiation of a master purchase agreement for the sale, throughout the programme, of more portfolio of commercial receivables, a subservicing agreement, an intercreditor agreement a CAMPA, a subscription agreement of mezzanine partly paid notes and for the review of the prospectus.
• Primary Corporate and Investment Bank in relation to a secured financing to Wisdom S.r.l. (York group) to support the acquisition and capex needs related to demo-reconstruction residential project of a real estate asset in the centre of Rome.
• UBI Banca S.p.A. in relation to a secured facility agreement, aimed at financing the construction of nursing homes for the elderly in Parco delle Cave in Brescia, bordering an artificial lake.
• Banca Nazionale del Lavoro S.p.A. Banco BPM S.p.A., Crédit Agricole Italia S.p.A., Banco di Sardegna S.p.A. and Banca del Mezzogiorno – MedioCredito Centrale S.p.A. in relation to a syndicated financing transaction structured in three facilities: two loan facilities and a multicurrency guarantee facility, aimed at supporting the gas and electricity trading activity of the Borrower.
• Banca Nazionale del Lavoro S.p.A., Intesa Sanpaolo S.p.A., UniCredit S.p.A., Crèdit Agricole Italia S.p.A. and Crédit Agricole Corporate and Investment Bank S.A. - Succursale di Milano in relation to an ESG-ready financing to an Italian leading corporate open to the accession of its subsidiaries in Italy, France, Switzerland, Germany, the Netherlands and Belgium aimed at supporting the general corporate purposes of the group.
