Shearman & Sterling Advises on Banco BTG Pactual S.A.’s US$ 1.3 Billion 8.750% Perpetual Non-Cumulative Junior Subordinated Notes Offering

Shearman & Sterling represented Banco Bradesco BBI, Banco BTG Pactual S.A. – Cayman Branch, BB Securities Limited, S.A., Citigroup Global Markets Inc., Merrill Lynch, Pierce, Fenner & Smith Incorporated and Santander Investment Securities Inc. as joint bookrunners in connection with Banco BTG Pactual S.A.’s issuance, through its Luxembourg branch, of its US$1,300,000,000 8.750% Perpetual Non-Cumulative Junior Subordinated Notes (the “Notes”). Application has been made to qualify the Notes as Additional Tier 1 capital under Brazilian banking regulations.
