Shearman & Sterling Advises on BBVA Bancomer’s $200 Million Subordinated Preferred Capital Notes Offering

Shearman & Sterling represented BBVA Securities Inc. and Goldman, Sachs & Co. as joint bookrunners in connection with the 144A/Regulation S offering of $200,000,000 aggregate principal amount of 5.350% Subordinated Preferred Capital Notes Due 2029 (the “Notes”) by BBVA Bancomer, S.A., Institución de Banca Múltiple, Grupo Financiero BBVA Bancomer (“BBVA Bancomer”), acting through its Texas Agency. The Notes qualify as Tier 2 capital and are subject to write-down or suspension in the event BBVA Bancomer’s capitalization levels fall below certain thresholds.

BBVA Bancomer is Mexico's largest bank in terms of total assets, loans and deposits.
