Shearman & Sterling Advises Underwriters in Atmos Energy Corporation’s $750 Million Senior Notes Offering

Shearman & Sterling represented the underwriters in connection with Atmos Energy Corporation’s offering of $500 million aggregate principal amount of 3.000% Senior Notes due 2027 and $250 million aggregate principal amount of 4.125% Senior Notes due 2044. The 2044 notes are a further issuance of Atmos Energy’s $500 million aggregate principal amount of 4.125% Senior Notes due 2044 issued on October 15, 2014. BNP Paribas Securities Corp., Credit Agricole Securities (USA) Inc., J.P. Morgan Securities LLC, and Wells Fargo Securities, LLC acted as representatives of the several underwriters.

Atmos Energy Corporation, headquartered in Dallas, is the country's largest, fully-regulated, natural-gas-only distributor, serving over three million natural gas distribution customers in over 1,400 communities in eight states from the Blue Ridge Mountains in the east to the Rocky Mountains in the west. Atmos Energy also manages company-owned natural gas pipeline and storage assets, including one of the largest intrastate natural gas pipeline systems in Texas.
