Volcan Compañía Minera’s $475 Million Notes Offering and $125 Million Tender Offer

Shearman & Sterling represented Volcan Compañía Minera S.A.A. (“Volcan”), a diversified Peruvian mining company, in connection with an offering by Volcan of $475 million of its 4.375% notes due 2026 and a concurrent offer to purchase for cash made by Volcan for up to $125 million of its 5.375% notes due 2022. Banco BTG Pactual S.A. – Cayman Branch, Citigroup Global Markets Inc., and Santander Investment Securities Inc. acted as joint book-runners for the offering and as dealer managers for the concurrent cash tender offer.

Volcan intends to use the net proceeds from the offering to fund the concurrent cash tender offer and to repay other existing indebtedness, and intends to use any remaining balance in the proceeds for general corporate purposes.
