Shearman & Sterling Represents Chesapeake Utilities Corp. in $923 Million Acquisition of Florida City Gas

Shearman & Sterling represented Chesapeake Utilities Corporation in a definitive agreement to acquire Florida City Gas from NextEra Energy, Inc. for $923 million in cash. Upon close of the transaction, expected by the end of the fourth quarter of 2023, Florida City Gas will become a wholly-owned subsidiary of Chesapeake Utilities.

InterContinental Energy’s $115 million Series B capital raise

Shearman & Sterling advised leading green fuels company InterContinental Energy on its $115 million capital raise. The capital raise involved an increase by Singapore’s sovereign wealth fund GIC of its existing investment in InterContinental Energy and a new investment from Hy24, a European clean hydrogen investment fund.

Bank of Montreal’s $2.5 Billion Medium-Term Notes Offering

Shearman & Sterling represented BMO Capital Markets, BofA Securities, Goldman Sachs & Co. LLC, J.P. Morgan and Societe Generale, as lead underwriters, in connection with Bank of Montreal’s registered public offering of $2.5 billion of medium-term notes, comprised of $1.2 billion aggregate principal amount of its 5.920% Senior Notes due 2025, $1 billion aggregate principal amount of its 5.717% Senior Notes due 2028 and $300 million aggregate principal amount of its Floating Rate Notes due 2025, under its U.S. medium-term note program.
